Course Description

This course examines the principles and practice of corporate governance, and provides a framework for analysing issues in the governance of corporations.

Topics covered in the course look at the roles of stakeholders in corporate governance, emphasising shareholders, directors and management. Attention is also given to selected international corporate governance issues and the regulation of corporations in the public interest.

Learning Outcomes

This course provides students with a comprehensive understanding of the concepts and issues associated with corporate governance practices and mechanisms. Students are expected to acquire a solid understanding of:

  • The purpose and nature of corporations.
  • Different stakeholders roles and significance in relation to corporate governance.
  • The importance of regulation, markets and information in corporate governance.
  • International differences and similarities in relevant institutions and developments.
  • The ability to critically assess governance concerns for individual corporations.

Workload

Teaching for this course is likely to be in the format of one 3 hour seminar per week; however, enrolment numbers may dictate that it be run differently. Students are expected to fully take part in the course, to read all required readings, participate in discussions and undertake individual research.
